A calculator with a good memory — and the agreement that comes with it.

Otium Money Inc. is a Delaware corporation (“Otium Money,” “we,” “us,” “our”). These Terms of Service (the “Terms”) are a binding agreement between you and Otium Money.

They cover your use of our website, our iOS application, and any related services we provide (together, the “Service”).

By creating an account or using the Service, you agree to these Terms. If you don’t agree, please don’t use the Service.

You must be at least 18 years old and legally able to enter into a contract to use the Service.

Otium Money is personal finance software. It connects to financial accounts you choose to link, organizes that information, and shows you calculations based on it — things like your net worth over time, where your money goes, and how long it might take to reach a savings target.

Think of it as a well-built calculator with a good memory. It does arithmetic on your numbers and presents the results clearly.

Otium Money is an educational and informational tool. It is not, and does not provide:

• Financial advice. We do not tell you what to do with your money.
• Investment advice. We are not a registered investment adviser. We do not recommend securities, allocations, or investment products, and nothing in the Service should be treated as a recommendation to buy, sell, or hold anything.
• Tax advice. We are not accountants. Tax treatment of anything you see in the Service may differ from what we display.
• Legal advice. We are not lawyers.
• Insurance, mortgage, lending, or estate planning advice.
• Brokerage, banking, or money transmission services. We do not hold, move, or have custody of your money.

We do not know your situation. We see the accounts you connect and the information you enter. We don’t know your health, your job security, your family obligations, your risk tolerance, your tax situation, your other assets, or anything else a real advisor would need before saying a word about what you should do.

Please talk to a professional. Before making a significant financial decision, we genuinely encourage you to consult a licensed financial advisor, a CPA, or an attorney — someone who can look at your whole picture and is accountable for what they tell you.

We are not affiliated with or endorsed by the Social Security Administration. When the Service helps you import a Social Security Statement, your sign-in happens only on the official SSA website. Otium does not operate that site, see your SSA credentials, or represent that its projections are official benefit determinations.

We want to be straightforward about something.

Inside the Service, you may see words like insight, recommendation, suggestion, advice, you should, or we recommend. These are ordinary product language. They are how software talks. They are not a representation that we are giving you professional financial advice, and they do not create an advisory relationship between us.

When Otium Money says something like “consider increasing your savings rate,” it means: based purely on the numbers you gave us and the assumptions we’ve disclosed, here is what the arithmetic suggests. It does not mean: we, who know your situation, are advising you to do this.

The same applies to anything generated by automated or machine-learning systems within the Service. Automated output can be wrong, incomplete, or misleading, and it does not become advice by virtue of sounding confident.

The Service produces forward-looking figures — projected retirement dates, financial-independence estimates, savings trajectories, and similar. Understand what these are:

• They are arithmetic applied to assumptions, not predictions about your future.
• They rely on assumptions about returns, inflation, spending, income and time that will not match reality.
• Small changes in assumptions produce large changes in long-horizon outputs.
• Past performance does not indicate future results.
• Markets, tax law, your income and your life will all do things the model doesn’t anticipate.

We try to disclose the assumptions behind our calculations. Where we do, please read them. Where a figure looks precise — a specific date, a specific dollar amount — treat the precision as an artifact of arithmetic, not as confidence.

You’re responsible for your account: keeping your credentials secure, everything that happens under your login, and giving us accurate information.

Tell us promptly at sam@otiummoney.com if you think someone else has accessed your account.

You may not share your account, sell it, or let someone else use it.

The Service lets you connect financial accounts through Plaid or SnapTrade, our account-connection providers. When you do:

• You authorize us to access and store information from those accounts as described in our Privacy Policy.
• You confirm you have the right to connect those accounts.
• Your relationship with that provider is also governed by their own terms and privacy policy.
• Account data is read-only. We retrieve information. We cannot move money, initiate transactions, or change anything at your financial institution.

Data from your financial institutions may be delayed, incomplete, miscategorized, or wrong. Institutions change their systems, connections break, and transactions get classified oddly. Always treat your bank, brokerage or lender’s own records as authoritative — not ours.

Parts of the Service may be offered as beta, preview or test versions, including builds distributed through TestFlight.

Beta versions are provided as-is and for evaluation only. They may be unstable, incomplete, or wrong. They may lose data. They may be discontinued without notice. Do not rely on them for anything that matters, and don’t treat their output as accurate.

Everything in §12 and §13 applies with particular force to beta versions.

The Service is free while it is in early access. No payment processor is integrated today and nothing in the Service will ask you for a card.

When subscriptions launch, we will update these Terms with the actual pricing and renewal terms, give you notice, and ask you to accept the updated version before anything bills you. Nothing will start charging you quietly, and no card you have not entered can be charged.

In advance, so it is not a surprise: subscriptions bought on the web would be processed by Stripe, and we would never hold your full card number. Subscriptions bought through the Apple App Store would be handled by Apple, subject to Apple’s terms, with refunds governed by Apple’s policies — you would request those through Apple, not us.

Please don’t:

• Use the Service for anything unlawful, or to violate anyone’s rights
• Connect accounts you don’t have authority over
• Try to break, probe, or circumvent our security
• Scrape, crawl, or bulk-extract data from the Service
• Reverse engineer, decompile, or disassemble the Service, except where law says you may
• Resell, redistribute, or offer the Service commercially without our written permission
• Use the Service to give financial advice to others, or to operate an advisory business, without your own appropriate licensing
• Upload malware, or interfere with anyone else’s use of the Service
• Misrepresent your identity or your affiliation with anyone

We may suspend or terminate accounts that do these things.

Your data stays yours. You keep all rights to the financial information and content you provide. You grant us a limited license to store, process and display it — solely to operate and improve the Service for you, as described in our Privacy Policy. We don’t claim ownership of your financial life.

Our software stays ours. The Service, its design, code, branding and content are owned by Otium Money or our licensors and protected by intellectual property law. We grant you a personal, non-exclusive, non-transferable, revocable license to use the Service for your own personal, non-commercial purposes. That’s it — no other rights are granted.

Feedback. If you send us suggestions, we can use them freely, without obligation or compensation to you.

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

Specifically, we do not warrant that:

• The Service will be uninterrupted, timely, secure or error-free
• Calculations, projections or displayed figures will be accurate or complete
• Data retrieved from your financial institutions will be accurate, current or complete
• Defects will be corrected
• The Service will meet your needs or produce any particular financial outcome

Some jurisdictions don’t allow certain warranty exclusions, so parts of this section may not apply to you.

(a) No indirect damages. We are not liable for indirect, incidental, special, consequential, exemplary or punitive damages. This includes lost profits, lost savings, lost investment opportunity, lost data, business interruption or loss of goodwill — even if we were told such damages were possible.

(b) No liability for your financial decisions. We are not liable for any financial loss, missed opportunity, tax consequence or other harm arising from decisions you make while using or relying on the Service. Those decisions are yours.

(c) Cap on total liability. Our total aggregate liability for all claims relating to the Service will not exceed the greater of (i) the amount you paid us in the twelve months before the event giving rise to the claim, or (ii) 100 USD.

(d) Third parties. We are not liable for acts, omissions, outages, errors or data breaches of third-party services, including your financial institutions, Plaid, SnapTrade, Stripe, or Apple.

(e) What we don’t limit. Nothing in these Terms limits liability that cannot be limited by law — including, in many places, liability for fraud, fraudulent misrepresentation, gross negligence, willful misconduct, or death or personal injury caused by negligence. Some jurisdictions don’t allow certain limitations, so parts of this section may not apply to you, and you may have rights these Terms cannot take away.

(f) Basis of the bargain. These limitations are a fundamental part of the agreement between us and apply even if a limited remedy fails of its essential purpose.

You agree to indemnify and hold harmless Otium Money, its officers, directors, employees and agents from claims, damages, losses and reasonable legal fees arising out of:

• Your use of the Service
• Your violation of these Terms or of any law
• Your violation of anyone else’s rights
• Any financial decision you make, or advice you give to others, based on the Service

This doesn’t apply to the extent a claim arises from our own gross negligence or willful misconduct.

You may stop at any time by deleting your account from Settings. Deletion is immediate and removes your data — see the Privacy Policy for exactly what that means.

We may suspend or terminate your access if you breach these Terms, if we are required to by law, or if we discontinue the Service. Except where a breach or legal requirement makes it impractical, we’ll give you reasonable notice and an opportunity to export your data.

§3, §4, §5, §11 (our software), §12, §13, §14, §16 and §17 survive termination.

We may update these Terms. If changes are material, we’ll give you reasonable advance notice — by email or in the Service — before they take effect, and you’ll be asked to review the updated version the next time you sign in.

Continuing to use the Service after changes take effect means you accept them. If you don’t accept them, stop using the Service and delete your account.

We’ll always keep the current effective date at the top of this page.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules.

Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you and Otium Money each consent to the personal jurisdiction of those courts.

Nothing here prevents either of us from seeking injunctive relief in court to protect intellectual property or confidential information.

If you live somewhere whose law gives you the right to bring a claim locally, or grants you consumer rights that this section can’t override, this section doesn’t take those away.

Entire agreement. These Terms and the Privacy Policy are the whole agreement between us about the Service.

Severability. If a provision is unenforceable, the rest stays in effect and the unenforceable provision is narrowed to the minimum extent necessary.

No waiver. If we don’t enforce something right away, we haven’t given up the right to enforce it later.

Assignment. You can’t assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets.

Force majeure. Neither of us is liable for failures caused by events beyond reasonable control.

Apple. If you use our iOS app: these Terms are between you and Otium Money, not Apple. Apple is not responsible for the app or its content, has no obligation to provide support or maintenance for it, and is not responsible for addressing any claims about it. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

Questions about these Terms:
